These Terms of Service ("Terms") govern your access to and use of ClipMind, including the ClipMind website, the ClipMind API, and related video understanding, editing, voice, billing, account, and support services (the "Service").

"ClipMind", "we", "us", and "our" refer to the operator of the Service. "You" and "your" refer to the person or organization using the Service.

By accessing or using the Service, creating an account, uploading content, clicking a sign-in button, or purchasing a plan, you agree to these Terms. If you use the Service for an organization, you represent that you have authority to bind that organization.

The Service

ClipMind provides AI-assisted tools for video project workflows, including upload, storage, video understanding, speech recognition, transcript organization, scene and entity extraction, reverse-script generation, editing-agent planning, voice and narration workflows, timeline planning, export records, and related project management features.

The Service may change over time. We may add, modify, suspend, or discontinue features, providers, models, plans, prices, quotas, or technical limits where reasonably necessary for product, operational, security, legal, or business reasons.

Beta Features

From time to time, ClipMind may offer access to features that are not yet generally available ("Beta Features"). Beta Features are provided "as is," "with all faults," and without any warranty, service level commitment, or support obligation. ClipMind may modify, suspend, or discontinue Beta Features at any time without notice. You may choose whether to use Beta Features at your sole discretion.

Eligibility

You may use the Service only if you can form a binding contract and are not barred from using the Service under applicable law.

The Service is not directed to children under 13. If you are under the age of majority in your jurisdiction, you may use the Service only with the consent and supervision of a parent or legal guardian. Paid features may be purchased only by users who are legally able to make the purchase or by an authorized organization.

Sanctions and Export Controls

You may not use the Service if you are located in, ordinarily resident in, or organized under the laws of any country or territory subject to comprehensive U.S. economic sanctions, or if you are designated on any U.S. government restricted party list (including OFAC's Specially Designated Nationals list, the Denied Persons List, or the Entity List). By using the Service, you represent and warrant that you are not subject to such restrictions. You agree to comply with all applicable export control and sanctions laws, including the U.S. Export Administration Regulations.

Accounts and Security

We may refuse registration, suspend access, require re-authentication, rotate credentials, revoke API keys, or disable accounts where necessary to protect the Service, users, providers, or third parties.

Inactive Accounts

ClipMind may suspend or terminate accounts that remain inactive for an extended period, as determined by our then-current policies. Where reasonably practicable, we will provide notice before taking action. Inactive accounts may have their projects and User Content deleted in accordance with our data retention policies.

User Content

"User Content" means videos, audio, images, transcripts, prompts, text, project metadata, voice samples, edit instructions, generated plans, generated audio, exports, and any other content you upload, submit, generate, store, or process through the Service.

You retain your rights in your User Content. You grant ClipMind a worldwide, non-exclusive, royalty-free license to host, store, copy, process, transmit, transform, analyze, display, generate derivative technical artifacts from, and otherwise use User Content as necessary to:

Your Content Responsibilities

Voice, Likeness, and Identity Rights

ClipMind offers features that may involve voice cloning, voice synthesis, narration, and other voice-based processing. You agree to the following when using these features:

AI Outputs

ClipMind uses AI and automation. AI-generated or AI-assisted results may be incomplete, inaccurate, delayed, biased, or unsuitable for a particular use.

You are responsible for evaluating outputs, checking factual accuracy, clearing rights, adding disclosures where required, and deciding whether outputs are appropriate for your use case.

The Service is not intended to provide legal, financial, medical, professional, safety-critical, or other regulated advice. Do not use AI outputs as the sole basis for decisions that may affect legal rights, health, safety, employment, credit, housing, insurance, education, or similarly significant matters.

You must not represent AI outputs as human-generated where applicable law or platform rules require disclosure of AI involvement.

Acceptable Use

You agree not to use the Service to:

We may enforce these rules by limiting, suspending, or terminating access; deleting content; refusing processing; notifying providers; or reporting unlawful activity where appropriate.

Plans, Minutes, Billing, and Subscriptions

ClipMind may offer free, paid, monthly, yearly, subscription, or usage-based plans. Paid plans may grant "minutes" or similar usage credits that are consumed by video understanding, editing export, voice cloning, and related features.

Unless stated otherwise at checkout or in the product UI:

You authorize ClipMind and its payment processors to charge the payment method you provide for applicable fees, taxes, renewals, and adjustments.

Free Tier

If ClipMind offers a free tier or free plan, ClipMind may set usage limits, feature restrictions, processing caps, storage quotas, or other limitations on free accounts. Free tier accounts are subject to these Terms without a binding payment obligation. ClipMind may modify, suspend, or discontinue free tier offerings at any time without liability.

Cancellations and Refunds

You may cancel a subscription through the billing customer portal where available, or by contacting support [at] clipmind.top.

Except where required by law or expressly stated in writing by ClipMind:

We may issue credits, refunds, or extensions at our discretion, but doing so once does not require us to do so again.

Statutory Cancellation Rights (EU / EEA / UK)

If you are a consumer in the European Union, European Economic Area, or the United Kingdom, you may have a statutory right to withdraw from a purchase within 14 days without giving any reason (the "cooling-off period"). However, if you access or use the Service (including digital content) during the cooling-off period, you acknowledge that you lose your cancellation right, and you expressly request that the Service begin immediately. By accepting these Terms and starting to use the Service, you confirm your express request for immediate access and waive your statutory cancellation right with respect to the digital content portion of the Service.

Third-Party Services

The Service depends on third-party services, including cloud infrastructure, object storage, databases, AI models, speech services, vision services, embedding services, payment processors, analytics providers, authentication providers, and compute providers.

Third-party services may change, fail, suspend access, impose limits, modify model behavior, reject content, or require additional terms. ClipMind is not responsible for third-party services outside our reasonable control.

When you use features that rely on third-party services, you authorize ClipMind to send User Content and related metadata to those providers as needed to provide the Service.

API Terms

If you access the Service through an API, the following additional terms apply:

Intellectual Property

ClipMind and its licensors own the Service, including software, design, workflows, interfaces, documentation, trademarks, logos, non-user data, and underlying technology.

Except for rights expressly granted in these Terms, no rights are transferred to you. You may not copy, modify, distribute, sell, lease, sublicense, or create derivative works from the Service except as permitted by these Terms or applicable law.

Open Source Components

The Service may incorporate open source software components. Use of those components is governed by their respective licenses, which are available upon request. Nothing in these Terms restricts your rights under applicable open source licenses or grants you rights beyond those licenses.

U.S. Government Users

The Service and its documentation are "Commercial Items" as defined in 48 C.F.R. Section 2.101, consisting of "Commercial Computer Software" and "Commercial Computer Software Documentation." Any use, duplication, or disclosure by the U.S. Government is subject to the restrictions in 48 C.F.R. Sections 12.212 and 227.7202.

Feedback is voluntary. If you provide feedback, you grant ClipMind a perpetual, irrevocable, worldwide, royalty-free license to use it without restriction or compensation.

Copyright and Takedown Requests

ClipMind respects intellectual property rights. If you believe content on the Service infringes your copyright or other rights, you may send a notice to our designated agent:

We may remove or restrict content and may terminate repeat infringers where appropriate. If we remove your content in response to a takedown notice, we will attempt to notify you and may provide you with an opportunity to submit a counter-notification in accordance with applicable law.

Service Availability and Support

We aim to provide a reliable Service, but we do not guarantee uninterrupted availability, processing time, storage durability, model accuracy, export success, or compatibility with every file, browser, device, provider, or workflow.

The Service may be unavailable due to maintenance, failures, provider outages, queue backlog, rate limits, abuse prevention, force majeure, legal requirements, or security events.

Support is available through support [at] clipmind.top. Response times are not guaranteed unless a separate written agreement says otherwise. ClipMind does not provide support for free tier accounts except as determined at our discretion.

Suspension and Termination

You may stop using the Service at any time. You may request account or project deletion as described in the Privacy Policy.

We may suspend or terminate your access, remove content, refuse processing, or limit features if:

We will endeavor to provide notice before suspension or termination where reasonably practicable, unless the situation involves an imminent risk of harm or legal violation.

After termination, provisions that by their nature should survive will survive, including payment obligations, content responsibility, intellectual property, disclaimers, liability limits, indemnity, dispute terms, and retention rights.

Disclaimers

To the maximum extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, statutory, or otherwise.

We disclaim warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, security, reliability, and that outputs will be error-free or suitable for your intended use.

We do not warrant that the Service will meet your requirements, that operation will be uninterrupted or error-free, or that defects will be corrected.

Some jurisdictions do not allow certain disclaimers, so some disclaimers may not apply to you.

Limitation of Liability

To the maximum extent permitted by law, ClipMind and its affiliates, service providers, officers, employees, contractors, and agents will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, lost goodwill, business interruption, content loss, or substitute services.

These limits apply even if a remedy fails of its essential purpose. Multiple claims will not increase this limit.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some limitations may not apply to you.

Indemnity

To the maximum extent permitted by law, you will defend, indemnify, and hold harmless ClipMind and its affiliates, service providers, officers, employees, contractors, and agents from claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys' fees, arising from:

Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, United States, excluding conflict-of-law rules, unless mandatory law in your jurisdiction requires otherwise.

Informal Resolution

Before filing a formal claim, you agree to contact support [at] clipmind.top and try to resolve the dispute informally. If we cannot resolve the dispute within 30 days, either party may bring a claim in a court of competent jurisdiction, unless applicable law provides another required forum. The parties will cooperate in good faith to resolve disputes without litigation.

Class Action Waiver

To the maximum extent permitted by law, you agree that any claim or dispute will be resolved on an individual basis and not as a class, consolidated, collective, or representative action. You waive the right to participate in a class action against ClipMind. If this waiver is found unenforceable, it will be severed and the remainder of these Terms will remain in effect.

Jury Trial Waiver

To the maximum extent permitted by law, each party waives the right to a trial by jury in any action or proceeding arising out of or related to these Terms or the Service.

Nothing in these Terms limits rights you may have under mandatory consumer protection law, including the right to bring claims in small claims court where applicable.

Changes to These Terms

We may update these Terms from time to time. When changes are material, we will update the "Last updated" date and provide additional notice where required, such as by email or through the Service.

Your continued use of the Service after updated Terms become effective means you accept the updated Terms to the extent permitted by law. If you do not agree with a material change, you should stop using the Service and delete your account.

General Provisions

Entire Agreement

These Terms, together with the Privacy Policy and AI Disclaimer, constitute the entire agreement between you and ClipMind regarding the Service and supersede all prior agreements, understandings, and representations, whether oral or written.

No Agency

These Terms do not create any agency, partnership, joint venture, employment, or franchise relationship between you and ClipMind.

Assignment

You may not assign or transfer these Terms or any rights or obligations under these Terms without ClipMind's prior written consent. ClipMind may assign or transfer these Terms without restriction, including in connection with a merger, acquisition, reorganization, or sale of assets.

Waiver

Any failure by ClipMind to enforce any provision of these Terms will not constitute a waiver of that provision or any other provision. No waiver is effective unless in writing and signed by the waiving party.

Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect, and the invalid provision will be replaced with a valid provision that most closely reflects the original intent.

Headings

Section headings in these Terms are for convenience only and have no legal or contractual effect.

Interpretation

The words "include" and "including" will be interpreted as "including without limitation." The word "may" means "has the right to but is not obligated to." The word "reasonable" and "reasonably" will be interpreted in light of the circumstances.

No Third-Party Beneficiaries

These Terms are for the benefit of you and ClipMind and are not intended to confer any rights on any third party except as expressly stated.

Force Majeure

ClipMind will not be liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, government action, pandemic, epidemic, labor disputes, strikes, supply chain disruptions, electrical or internet outages, provider failures, cyberattacks, or changes in applicable law.

Governing Language

These Terms are written in English. Any translated versions are provided for convenience only. In the event of a conflict between the English version and a translated version, the English version prevails.

Communications and Notices

You agree to receive communications from ClipMind electronically, including by email and through the Service. You consent that all agreements, notices, disclosures, and other communications provided electronically satisfy any legal requirement that such communications be in writing. Legal notices to ClipMind must be sent to support [at] clipmind.top with "Legal Notice" in the subject line, or to the physical address provided upon request.

Electronic Acceptance

By accessing or using the Service, creating an account, clicking to accept, or signing in, you acknowledge that you have read, understood, and agree to these Terms electronically. You agree that your electronic agreement is equivalent to a written signed agreement.
